Job Summary
The Legal Department at Equinix is seeking a Senior Legal Counsel, Corporate & Governance, with tax, corporate structuring, corporate finance and transactional experience, to join our team to work on various matters related to Equinix’s global tax strategy, capital structure, financing activity, treasury operations and other corporate transactions.
Responsibilities
Provide support for the maintenance of Equinix’s REIT structure, including review for REIT compliance of transactions and arrangements entered into by the company globally
Actively participate as U.
S.
corporate Subject Matter Expert for REIT purposes
Partner with outside REIT counsel on relevant REIT-related regulation and IRS interactions
Assist in development and execution of tax planning strategies for M&A and other material transactions, including integration planning and execution
Implementation of global tax “step plans”
Draft, revise, and maintain global inter-company agreements
Provide legal support for the maintenance of the Company’s subsidiaries
Support certain financing activity from both a transactional and corporate governance perspective, including oversight of diligence reviews and closings
Provide support for various other capital structure related activity
Attend to special projects for the Legal Department from time to time as needed
Qualifications
JD
3-5 years+ of relevant law firm experience
Global publicly-listed company/REIT experience preferred
Experience with various corporate transactions, including both public and private financings and M&A
Ability to handle multiple projects with competing priorities with minimum supervision
Strong multitasking and organizational skills required
Ability to work in a fast-paced and dynamic environment
Excellent business judgment and ability to think strategically
Excellent verbal and written communications skills
Willingness to develop new areas of expertise and demonstrate intellectual curiosity
Team player with a strong customer service mind set
Willingness to travel internationally
